LINK Mobility intends to acquire Responsfabrikken A/S

LINK Mobility Group ASA has signed a Term Sheet Agreement with REFA Holding A/S, with the intention to acquire Responsfabrikken A/S, Responsfabrikken AS & Wirelessfactory ApS (Responsfabrikken) in Denmark

Responsfabrikken is Denmark´s leading provider of mobile marketing and digital solution services with as solid customer base. LINK Mobility is the leading A2P messaging operator in Denmark. The two companies are a strong strategic fit, and a solid platform to continue developing world class mobile messaging, digital solutions and intelligence services to its 6 000 customers across the Scandinavian and Baltic Markets. The two companies will have in excess of 50% market share in Denmark.

The enterprise value of Responsfabrikken is agreed to DKK 50 million on a debt free basis, and will be settled as follows:

• 1/3 paid in cash at closing.
• 1/3 in shares in Link Mobility Group ASA, based on the share value at Oslo Stock Exchange as of today.
• 1/3 in seller’s credit to be paid 36 months after closing. The seller’s credit will bear an interest of 5 percent p.a., to be calculated and paid quarterly.

In 2015 Responsfabrikken reported revenues of DKK 28.7 million and an adjusted EBITDA of DKK 9.3 million. Responsfabrikken is located in Copenhagen and Oslo with a total of 22 highly skilled employees.

The acquisition is conditional upon a satisfactory result of the due diligence process to be performed, and upon LINK Mobilty Group ASA and REFA Holding A/S agreeing on the terms and conditions of a legally binding share purchase agreement containing, inter alia, customary closing conditions. The acquisition is furthermore subject to approval of the Board of Directors of LINK Mobility Group ASA. The transaction is expected to close on 31 May 2016.
